Acceptance of Terms

Welcome to BrandSKU. These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Services") operated by BrandSKU ("BrandSKU," "we," "us," or "our").

By registering an account, accessing, or using the Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

We may modify these Terms at any time. Material changes will be notified via email or through the platform. Continued use after such changes constitutes acceptance.

Definitions

"Platform" means the BrandSKU website, applications, and related services.

"Supplier" means a third-party merchant or manufacturer that lists products on the Platform.

"Retailer" or "Merchant" means a User who imports, lists, and sells Supplier products to end consumers through their own sales channels.

"End Customer" means the ultimate consumer purchasing a product from a Retailer.

"Order" means a purchase request placed through the Platform.

"Content" means any text, images, product descriptions, or other materials made available through the Platform.

Eligibility and Account Registration

Eligibility. To use the Services, you must be at least 18 years old and legally capable of entering into a binding contract. If you register on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Registration. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You may not register more than one account without our prior written consent.

Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

Verification. We reserve the right to request additional verification (identity, business registration, tax information) and to suspend accounts pending verification.

Description of Services

Nature of the Platform. BrandSKU operates a technology platform that facilitates connections between Suppliers and Retailers for the purpose of dropshipping transactions. BrandSKU is not a party to any sales contract between Suppliers, Retailers, and End Customers.

No Endorsement. BrandSKU does not manufacture, own, sell, resell, control, or inspect the products listed on the Platform. We make no representations or warranties regarding the quality, safety, legality, or accuracy of any product listing.

User Responsibility. Retailers are solely responsible for their own storefronts, customer relationships, marketing claims, pricing, tax collection, and compliance with applicable laws in their sales jurisdictions.

Orders, Payments, and Fees

Placing Orders. When a Retailer's End Customer places an order, the Retailer authorizes BrandSKU to process the corresponding fulfillment order with the Supplier. Retailer is responsible for ensuring sufficient funds or valid payment methods are available.

Pricing. Product prices, shipping costs, and applicable fees are displayed on the Platform and may change without prior notice. The price at the time of order confirmation applies.

Payment Processing. Payments are processed through third-party payment processors (e.g., Stripe, PayPal). By using the Services, you agree to their respective terms. BrandSKU is not liable for payment processor errors or delays.

Fees. BrandSKU may charge subscription fees, transaction fees, or service fees as described on the Platform. Fees are non-refundable except as expressly stated.

Taxes. You are solely responsible for determining and paying any taxes (VAT, GST, sales tax, customs duties) applicable to your transactions.

Shipping and Delivery

Estimated Delivery Times. Delivery times shown on the Platform are estimates, not guarantees. Actual delivery may vary due to Supplier processing, carrier performance, customs clearance, weather, or force majeure events.

Shipping Responsibility. Once an order is handed over to the carrier, risk of loss and title transfer according to the shipping terms specified by the Supplier. BrandSKU does not act as the carrier and is not liable for delays, damage, or loss during transit.

Customs and Duties. For cross-border shipments, End Customers or Retailers (as applicable) are responsible for import duties, taxes, and customs clearance. Refusal to accept a shipment due to customs issues does not entitle the Retailer to a refund of shipping fees.

Lost or Damaged Shipments. Claims for lost or damaged shipments must be submitted within 30 days of the estimated delivery date. Resolution is subject to Supplier and carrier policies.

Returns, Refunds, and Cancellations

Order Cancellation. Orders may be cancelled by the Retailer only before the Supplier begins processing. Once processing begins, cancellation is at the Supplier's discretion.

Returns. Return eligibility depends on the individual Supplier's policy, which is displayed on each product listing. BrandSKU does not operate a centralized returns center unless expressly stated.

Refunds. Refunds for defective or misdescribed products may be granted subject to evidence (photos, videos) submitted within 30 days of delivery. Refunds are issued to the original payment method within a reasonable timeframe.

Non-Refundable Items. Custom-made, personalized, perishable, or intimate products are generally non-refundable unless defective.

Chargebacks. Unwarranted chargebacks may result in account suspension and recovery of losses.

User Content and Intellectual Property

Platform IP. All content provided by BrandSKU-including the platform interface, logos, trademarks, code, and documentation-is owned by BrandSKU or its licensors and protected by intellectual property laws. You may not copy, modify, or distribute such content without permission.

User Content License. By uploading Content (product descriptions, images, reviews, storefront branding) to the Platform, you grant BrandSKU a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, and display such Content solely for the purpose of operating and promoting the Services.

User Representations. You represent and warrant that you own or have obtained all necessary rights to the Content you upload and that such Content does not infringe any third-party rights.

Supplier Content. Product images, descriptions, and specifications provided by Suppliers may be used by Retailers solely for the purpose of reselling those products through the Platform.

Infringement and Takedown

Reporting Infringement. If you believe that Content on the Platform infringes your intellectual property rights, submit a written notice to [email protected] including:

• Identification of the copyrighted or trademarked work
• Identification of the allegedly infringing material and its location on the Platform
• Your contact information
• A statement of good-faith belief that the use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder
• Your physical or electronic signature

Action Upon Notice. Upon receipt of a valid notice, we may remove the allegedly infringing material and notify the User who uploaded it. Repeat infringers will have their accounts terminated.

Counter-Notice. Users may submit a counter-notice contesting the removal. If a valid counter-notice is received, we may restore the material unless the complainant initiates legal action.

Prohibited Conduct and Products

Prohibited Conduct. You may not:

• Use the Services for any unlawful purpose
• Impersonate any person or misrepresent your affiliation
• Upload malware, engage in phishing, or interfere with the Platform's security
• Scrape, reverse-engineer, or access the Platform through automated means without permission
• Manipulate reviews, ratings, or metrics
• Resell or sublicense access to the Services

Prohibited Products. The following categories may not be listed, sold, or purchased through the Platform:

• Counterfeit, replica, or trademark-infringing goods
• Weapons, firearms, ammunition, and related accessories
• Illegal drugs, controlled substances, and drug paraphernalia
• Adult, pornographic, or sexually explicit material
• Hazardous materials, explosives, and flammables
• Live animals and regulated wildlife products
• Human remains, body parts, or bodily fluids
• Products subject to recalls or safety warnings
• Any product prohibited by applicable law in the relevant jurisdiction

Enforcement. Violation may result in listing removal, account suspension, permanent termination, and forfeiture of any pending payouts.

Suspension and Termination

Termination by User. You may close your account at any time by contacting support. Outstanding orders and financial obligations survive termination.

Termination by BrandSKU. We may suspend or terminate your account, with or without notice, if:

• You breach these Terms
• We suspect fraudulent, abusive, or illegal activity
• We are required to do so by law
• We discontinue the Services

Effect of Termination. Upon termination, your right to access the Services ceases immediately. Provisions relating to intellectual property, indemnification, disclaimers, limitation of liability, and dispute resolution survive termination.
